1. Company and acceptance

These Terms of Service (“Terms”) are between you and Talk Arc LLC, a Delaware limited liability company (“Talk Arc,” “we,” “us,” or “our”), and govern your access to KOLHero at kolhero.com and related services (the “Service”). Talk Arc LLC was formed in Delaware on March 24, 2026, under file number 10558284.

You accept these Terms by creating an account, purchasing a subscription or credits, or using the Service. If you use the Service for an organization, you confirm that you may bind that organization. If you do not agree, do not use the Service.

2. Service

KOLHero is a business tool for finding creators and managing outreach. It lets users search and review creator profiles assembled from public social-platform information and third-party data suppliers, import and manage contacts, and use related outreach workflows.

Creator profiles and contact information may be incomplete, outdated, or inaccurate. Social platforms and data suppliers are independent third parties, and we do not guarantee their data or continued availability. You must independently assess whether a creator or contact is appropriate for your purpose.

3. Accounts and eligibility

You must be at least 18 years old and legally able to enter into a contract. You must provide accurate account information, keep your login secure, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account and for users you authorize.

4. Subscriptions, credits, payment, and refunds

Paid access may combine recurring subscriptions with included or separately purchased usage credits. The checkout page or plan description will state the price, billing period, credit quantity, usage, renewal, and any expiration terms. Credits are non-transferable, have no cash value, and may be used only within the Service.

If checkout identifies a subscription as recurring, it renews automatically at the stated interval until canceled. Cancel before the renewal date to avoid the next charge. Cancellation stops future renewals but does not normally refund the current period or restore used credits.

Payments are processed by Airwallex. Airwallex may collect and process payment, billing, device, transaction, and fraud-prevention information under its own terms and privacy notice. Prices exclude applicable taxes unless checkout states otherwise.

Talk Arc LLC does not provide invoices during the initial release. If you require an invoice, do not purchase until the Service states that invoicing is available.

Except where required by law or expressly stated at checkout, paid fees and credits are non-refundable, including for unused time, unused credits, cancellation, or a change of mind. Contact contact@talkarcllc.com promptly if you believe a charge is incorrect. We may issue a refund or service credit at our discretion, but doing so once does not require us to do so again.

5. Acceptable use

You may use the Service only for lawful business purposes. You must not:

  • send spam, unlawful marketing, harassment, threats, or deceptive messages;
  • use creator or contact data without any notice, consent, or other lawful basis required for your activity;
  • violate privacy, publicity, intellectual-property, consumer-protection, anti-spam, sanctions, export-control, or other applicable laws;
  • upload data you are not authorized to use, or upload malware or harmful code;
  • scrape, overload, disrupt, probe, or bypass security, access, rate, credit, or usage controls;
  • reverse engineer or resell the Service except where law expressly permits it or we agree in writing; or
  • use the Service to impersonate others or facilitate fraud or illegal activity.

You are responsible for your outreach content, recipient selection, required notices and consents, unsubscribe or opt-out handling, and compliance with the rules of any social, email, or messaging platform you use.

6. Your data and privacy

You retain ownership of contacts, lists, notes, messages, and other content you upload or create (“Customer Content”). You give us a limited license to host, copy, process, transmit, and display Customer Content only as needed to provide, secure, support, and improve the Service and comply with law.

Our Privacy Policy explains how we handle account information, usage logs, public creator data, uploaded contacts, and information processed by our providers. You confirm that you have the rights and lawful basis needed to provide Customer Content to us and instruct us to process it.

7. Intellectual property

Talk Arc and its licensors own the Service, including its software, design, branding, documentation, and improvements. These Terms give you only a limited, non-exclusive, non-transferable, revocable right to use the Service while you comply with them. Rights in third-party social-platform content and supplier data remain with their respective owners.

If you send feedback, you allow us to use it without restriction or payment, but we will not identify you publicly as its source without permission.

8. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available.” We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not guarantee creator-data accuracy, outreach delivery or response, campaign results, revenue, or continued access to any third-party platform or data source. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

9. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, or for lost profits, revenue, goodwill, business opportunities, or data, arising from the Service.

To the fullest extent permitted by law, Talk Arc’s total liability arising out of or relating to the Service or these Terms will not exceed the amount you paid Talk Arc for the Service during the 12 months before the event giving rise to the claim, or USD 100 if you paid nothing. These limits do not apply where liability cannot legally be limited.

10. Suspension and termination

You may stop using the Service at any time and may cancel a recurring subscription through the available account or support channel. We may suspend or terminate access if you breach these Terms, fail to pay, create security or legal risk, or misuse the Service. Where practical, we will give notice and an opportunity to resolve the issue.

After termination, your right to use the Service ends. Provisions that by their nature should survive—including payment obligations, ownership, disclaimers, liability limits, governing law, and accrued rights—will survive.

11. Changes

We may update the Service or these Terms. If a change materially reduces your rights, we will provide reasonable notice through the Service, by email, or on our website. The revised Terms will state their effective date. Continued use after that date means acceptance, unless applicable law requires another form of consent.

12. Governing law and general terms

Delaware law governs these Terms, without regard to conflict-of-law rules, except where mandatory local law applies. The state and federal courts located in Delaware will have exclusive jurisdiction over disputes, unless applicable law gives you a non-waivable right to bring a claim elsewhere.

These Terms and any checkout terms expressly incorporated into them are the entire agreement about the Service. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, reorganization, sale of assets, or by operation of law.

3. 账号与资格

4. 订阅、任务点、付款与退款

付费服务可能由周期性订阅、订阅内含任务点及单独购买的任务点组成。结账页或套餐说明将列明价格、计费周期、任务点数量、使用方式、续费及任何到期条件。任务点不可转让、不可兑换现金，且只能在服务内使用。

若结账页将某订阅标明为周期性订阅，该订阅会按所示周期自动续费，直至取消。请在续费日前取消以避免下一笔扣款。取消只停止后续续费，通常不退还当期费用，也不恢复已使用任务点。

付款由 Airwallex（空中云汇）处理。Airwallex 可能依据其自身条款和隐私声明收集及处理付款、账单、设备、交易和反欺诈信息。除非结账页另有说明，价格不含适用税费。

Talk Arc LLC 在产品一期不提供发票。如您必须取得发票，请在服务明确显示可提供发票后再购买。

除法律强制要求或结账页明确说明外，已付费用及任务点不予退款，包括未使用的订阅时间、未使用任务点、取消订阅或改变主意的情形。如您认为扣款有误，请及时联系 contact@talkarcllc.com。我们可自行决定提供退款或任务点，但单次处理不构成今后必须同样处理的义务。

5. 可接受使用

您只能将服务用于合法商业目的。您不得：

  • 发送垃圾信息、违法营销信息、骚扰、威胁或欺骗性信息；
  • 在缺少相关活动所需的通知、同意或其他合法依据时使用达人或联系人数据；
  • 违反隐私、肖像或公开权、知识产权、消费者保护、反垃圾信息、制裁、出口管制或其他适用法律；
  • 上传您无权使用的数据、恶意软件或有害代码；
  • 抓取、过载、干扰或探测服务，或绕过安全、访问、频率、任务点或用量限制；
  • 对服务进行反向工程或转售，但法律明确允许或我们书面同意的除外；或
  • 冒充他人，或利用服务实施欺诈或违法活动。

您应对外联内容、收件人选择、所需通知与同意、退订或退出处理，以及遵守所用社交、邮件或消息平台的规则负责。

6. 您的数据与隐私

您保留对所上传或创建的联系人、名单、备注、消息及其他内容（“客户内容”）的所有权。您仅授权我们在提供、保障、支持和改进服务及遵守法律所必需的范围内托管、复制、处理、传输和显示客户内容。

我们的隐私政策说明如何处理账号信息、使用日志、公开达人数据、上传的联系人及由供应商处理的信息。您确认有权且具备合法依据向我们提供客户内容并指示我们处理。

7. 知识产权

Talk Arc 及其许可方拥有服务，包括软件、设计、品牌、文档和改进成果。本条款仅在您遵守条款期间授予有限、非独占、不可转让且可撤销的服务使用权。第三方社交平台内容和供应商数据的权利仍归各自权利人所有。

如您提供反馈，即授权我们不受限制且无需付费地使用；未经许可，我们不会公开表明您是反馈来源。

8. 免责声明

在法律允许的最大范围内，服务按“现状”和“可用状态”提供。我们不提供适销性、特定用途适用性、不侵权、不中断或无错误运行的默示保证。我们不保证达人数据准确性、外联送达或回复、营销结果、收入，或任何第三方平台或数据源持续可用。本条款不排除依法不得排除的保证或权利。

9. 责任限制

在法律允许的最大范围内，任何一方均不对因服务产生的间接、附带、特殊、示范性、惩罚性或后果性损害，或利润、收入、商誉、商业机会或数据损失负责。

在法律允许的最大范围内，Talk Arc 因服务或本条款产生或与之相关的责任总额，不超过引发索赔事件前 12 个月内您就服务向 Talk Arc 支付的金额；如您未支付任何费用，则不超过 100 美元。法律不允许限制的责任不受上述限制。

10. 暂停与终止

您可随时停止使用服务，并可通过账号内或客服提供的渠道取消周期性订阅。若您违反本条款、欠费、造成安全或法律风险、或滥用服务，我们可暂停或终止访问。在可行情况下，我们会通知您并提供解决问题的机会。

终止后，您的服务使用权结束。依其性质应持续有效的条款仍然有效，包括付款义务、所有权、免责声明、责任限制、适用法律及已产生的权利。

11. 变更

我们可能更新服务或本条款。若变更会实质性减少您的权利，我们将通过服务、电子邮件或网站提供合理通知。修订条款会注明生效日期；除非适用法律要求其他同意方式，您在该日期后继续使用即表示接受。

12. 适用法律与一般条款

除强制适用的当地法律外，本条款受特拉华州法律管辖，不适用其法律冲突规则。位于特拉华州的州法院和联邦法院对争议享有专属管辖权，但适用法律赋予您不可放弃的异地起诉权利的除外。

本条款及明确纳入的结账条款构成有关服务的完整协议。某项条款不可执行不影响其余条款。未执行某项条款不构成放弃。未经我们同意，您不得转让本条款；我们可因合并、重组、资产出售或法律规定而转让。
